NOCTIS Terms of Service
Version 2.0, effective 2026-10-25
These terms apply to the NOCTIS desktop application, the website noctisdb.com, your NOCTIS account and the license server the application uses (“the Service”). By downloading NOCTIS, buying a license or using the Service you agree to them. If you don’t agree, don’t use the Service.
1. Who we are
NOCTIS is operated by [LEGAL NAME, ADDRESS, COMPANY ID] (“we”, “us”). You can reach us at support@noctisdb.com.
2. The Service
NOCTIS is a desktop SQL client for MySQL, PostgreSQL and SQLite. It runs on your computer and connects directly to the databases you configure. We offer three plans:
- Free: no charge, with the limits shown on noctisdb.com/pricing.
- Pro: a paid subscription for one computer.
- Team: a paid subscription with one seat per computer, for at least three seats.
Every new installation includes a 14-day trial of the Pro features. After the trial NOCTIS continues on the Free plan unless you activate a license.
3. Purchases and payment
Purchases are processed by Stripe through Stripe Managed Payments. Stripe acts as the reseller and merchant of record for your order: it charges you, calculates and collects sales tax or VAT, issues invoices and handles payment disputes. Stripe’s terms for buyers, shown at checkout, also apply to your order.
Prices are listed in US dollars on noctisdb.com/pricing. Tax is added at checkout where it applies.
4. Subscriptions
- Subscriptions renew automatically at the end of each monthly or yearly period until you cancel.
- You can cancel at any time in Settings > License in NOCTIS or in your account on noctisdb.com. Cancellation takes effect at the end of the paid period, and the license works until then.
- If a renewal payment fails, the license keeps working for 7 days while the payment is retried.
- If you paid for 12 months in a row, your license becomes perpetual when the subscription ends. It keeps working for every version of NOCTIS released before the end of your last paid period. Newer versions require a new subscription.
- We may change prices for future periods. We will tell you at least 30 days before a change applies to your subscription.
5. Refunds
Refunds are handled by Stripe as the merchant of record, according to the buyer terms shown at checkout and the consumer law that applies to you. To ask for a refund, write to support@noctisdb.com. A refunded license is revoked.
6. Licenses and computers
- Your license key is personal to you or your organization. Keep it private.
- A Pro license can be active on one computer. A Team license can be active on as many computers as it has seats.
- You can move a license to another computer by deactivating it in NOCTIS or in your account. To prevent key sharing, the number of new activations and remote deactivations per 30 days is limited.
- NOCTIS checks the license with our license server once a day and keeps working for 14 days without a connection.
- We may revoke a license that was bought fraudulently, charged back, refunded or shared in breach of these terms.
7. Your responsibilities
You are responsible for the databases you connect to and for what you do with them. In particular, you must:
- have permission to access every database you connect to,
- keep your database credentials and license key secure,
- review changes before you apply them to production data, and keep backups of data you can’t afford to lose,
- decide which connections AI clients may use through the NOCTIS MCP server, and at which access level.
You must not use the Service for anything illegal, to access systems without authorization, or to circumvent the license checks, and you must not resell or redistribute NOCTIS licenses without our written permission.
8. Intellectual property
NOCTIS, its source code and its brand belong to us. Your use is governed by the End User License Agreement. Your data and your databases remain yours.
9. Disclaimer
The Service is provided “as is”. NOCTIS can run statements that change or delete data, and we can’t guarantee that it is free of errors or always available. To the extent the law allows, we disclaim all implied warranties.
10. Limitation of liability
To the extent the law allows, we are not liable for lost data, lost profits or indirect damages, and our total liability for any claim is limited to the amount you paid for NOCTIS in the 12 months before the claim. Nothing in these terms limits liability that can’t be limited by law, or your statutory rights as a consumer.
11. Termination
You can stop using the Service at any time. We may suspend or end your access if you breach these terms. Sections 7 to 10 survive termination.
12. Changes
We may update these terms. We will announce material changes on noctisdb.com or in NOCTIS at least 30 days before they take effect. If you don’t agree with the new terms, you can cancel your subscription before they apply.
13. Governing law
These terms are governed by the laws of [COUNTRY]. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live.
